Position Summary
VisionFund Ghana is seeking to recruit a highly competent and experienced Lawyer & Company Secretary to provide strategic legal advisory services, ensure corporate governance compliance, and support the effective administration of the Board of Directors.
The successful candidate will ensure that the organization complies with all statutory and regulatory obligations while safeguarding its legal interests. The role also provides secretariat support to the Board, ensuring that governance processes are efficiently managed and Board decisions are effectively implemented.
Key Responsibilities
1. Legal Advisory & Regulatory Compliance
The successful candidate will:
- Draft, review, negotiate, and manage company contracts, agreements, leases, and legal documentation.
- Ensure all corporate documents comply with applicable laws and regulatory requirements.
- Provide legal advice to the Chief Executive Officer, Senior Leadership Team, and management on corporate and commercial matters.
- Ensure compliance with the Companies Act, corporate governance regulations, and all applicable legislation.
- Monitor statutory obligations and ensure timely filing of regulatory returns and corporate documentation.
- Represent and protect the company’s legal interests where necessary.
- Coordinate external legal counsel and auditors.
- Support the Recovery Department on legal recovery matters.
- Review contracts and provide legal guidance to safeguard VisionFund Ghana’s interests.
- Maintain statutory books, corporate registers, and official company records.
2. Corporate Governance & Company Secretariat
The role includes responsibility for:
- Acting as Secretary to the Board of Directors.
- Advising the Board on governance and statutory compliance matters.
- Preparing the annual Board calendar and coordinating Board activities.
- Organizing Annual General Meetings (AGMs), Extraordinary General Meetings, and Board Committee meetings.
- Preparing Board agendas, meeting packs, and supporting documentation.
- Recording accurate minutes of Board and Committee meetings.
- Tracking Board resolutions, action items, and implementation timelines.
- Managing the Board Chair’s calendar and official engagements.
- Maintaining custody of the Company’s official seal.
- Managing correspondence between the Board, shareholders, regulators, and management.
- Establishing and maintaining a secure repository of Board and corporate governance documentation.
3. Governance Reporting & Regulatory Liaison
The successful candidate will:
- Update the VisionFund Ghana Governance Dashboard within three (3) days after CEO approval.
- Coordinate onboarding documentation for new Board members.
- Facilitate Board orientation programmes in collaboration with VisionFund International.
- Ensure Board documentation is endorsed and completed within required timelines.
- Participate in Global Centre governance trainings and implement recommendations where appropriate.
- Liaise with regulators on governance, compliance, and statutory matters.
4. Administrative Responsibilities
- Manage Board communications and documentation.
- Coordinate governance-related administrative activities.
- Support policy reviews to ensure governance compliance.
- Ensure statutory forms and special resolutions are filed within prescribed timelines.
- Sign statutory applications and regulatory returns where required.
5. Other Responsibilities
- Participate actively in the institution’s spiritual and organizational activities.
- Perform additional duties assigned by the Board Chair, Chief Executive Officer, or immediate supervisor.
- Support initiatives that contribute to the efficient operation of VisionFund Ghana.
Minimum Qualifications
Applicants must possess:
- A minimum of an LLB degree from an accredited institution.
- Qualification as a Professional Lawyer.
- Qualification as a Company Secretary.
- Full or partial ICSA (CGI) qualification.
- At least three (3) years’ relevant experience in a similar legal and company secretarial role.
