Job Description
Job Purpose
The role is responsible for leading the Company’s corporate finance and advisory business,
developing, and executing strategic financial solutions for corporate and institutional clients. The
role provides leadership in transaction origination, financial advisory, capital raising, mergers
and acquisitions, valuations, restructuring, deal structuring, and other corporate finance
mandates.
Key Responsibilities
Corporate Finance & Advisory Strategy
- Develop and implement the strategic direction for the Corporate Finance and Advisory
business. - Develop annual business plans, revenue targets, budgets, and growth initiatives for the
department. - Identify new business opportunities and emerging trends within the corporate finance and
investment banking market. - Develop innovative financial solutions tailored to clients’ strategic and funding
requirements. - Monitor market developments, competitor activities, and industry trends to identify
opportunities for business growth. - Provide strategic advice to Senior Management on corporate finance and advisory
opportunities.
Transaction Origination and Business Development
- Originate and lead corporate finance and advisory mandates from corporate, institutional,
government, and other clients. - Identify opportunities for debt and equity capital raising, mergers and acquisitions,
business restructuring, project finance, financial modelling, valuations, and other
advisory services. - Prepare and present proposals, pitch books, information memoranda, term sheets, and
other business development materials. - Negotiate engagement terms, fees, transaction structures, and mandates with clients.
- Build a sustainable pipeline of corporate finance and advisory transactions.
Transaction Execution
- Lead the execution of corporate finance transactions from initial engagement through
completion. - Oversee financial analysis, valuation, due diligence, transaction structuring, financial
modelling, and preparation of transaction documentation. - Review and approve financial models, valuation analyses, transaction presentations, and
client reports. - Coordinate with clients, investors, lenders, lawyers, auditors, regulators, valuers, and
other transaction advisers. - Lead negotiations with counterparties and other stakeholders during transaction
execution. - Ensure transactions are executed within agreed timelines, budgets, and quality standards.
- Identify and resolve transaction-related issues and escalate material matters to Senior
Management.

Valuation and Financial Analysis - Oversee business and asset valuations using appropriate methodologies.
- Review financial models, forecasts, cash-flow analyses, sensitivity analyses, and
investment returns. - Assess clients’ financial positions and recommend appropriate capital structures and
financing solutions. - Conduct industry, company, and transaction analysis to support advisory
recommendations. - Provide independent and commercially sound financial advice to clients.

Capital Raising and Financing Advisory - Lead debt and equity capital-raising mandates for corporate and institutional clients.
- Advise clients on appropriate financing structures and sources of funding.
- Develop and review financing proposals, term sheets, investor presentations, and
information memoranda. - Coordinate with banks, institutional investors, pension funds, asset managers, private
investors, and other funding sources. - Support negotiations between clients and potential financiers or investors.
- Monitor transaction progress through financial close and ensure agreed deliverables are
achieved.
Mergers, Acquisitions and Restructuring - Lead advisory assignments involving mergers, acquisitions, disposals, takeovers, and
strategic investments. - Conduct financial and commercial analysis to support M&A recommendations.
- Oversee valuation and transaction structuring for M&A engagements.
- Support clients with corporate restructuring, recapitalization, refinancing, and balance-
sheet optimization. - Coordinate due diligence processes and transaction negotiations.
- Develop transaction strategies that maximize value for clients.

Risk, Compliance and Governance - Ensure all transactions comply with applicable laws, regulations, professional standards,
and Company policies. - Ensure appropriate due diligence and risk assessments are conducted for all mandates.
- Work closely with Legal, Compliance, Risk, and other relevant departments on
transaction-related matters.
Reporting and Performance Management - Prepare regular reports on the department’s transaction pipeline, revenue, mandates, and
business development activities. - Report on the progress and performance of significant transactions to Senior
Management. - Bachelor’s degree in Finance, Economics, Accounting, Business Administration, or a
related discipline. - A professional qualification such as CFA, ACCA, CIMA, MBA, or equivalent is highly
desirable. - At least 8–10 years’ relevant experience in corporate finance, investment banking,
financial advisory, transaction advisory, private equity, or a related field. - At least 3–5 years’ experience in a senior managerial or leadership role.
- Demonstrable experience in corporate finance transactions, capital raising, valuations,
M&A, restructuring, or financial advisory. - Strong track record in business origination and client relationship management.
- Experience leading and managing transaction teams.
- Advanced financial modelling and valuation skills.
- Strong knowledge of corporate finance and capital markets.
- Excellent understanding of debt and equity financing structures.
- Strong knowledge of M&A and transaction advisory processes.
- Strong understanding of financial statements and financial analysis.
- Excellent negotiation and transaction structuring skills.
- Strong knowledge of investment and capital market regulations.
- Proficiency in Microsoft Excel, PowerPoint, and relevant financial analysis tools.
- Strong report writing, presentation, and proposal development skills.
